“Company”, “we”, “us” or “our”, and any client, customer, artist, producer, label, business,
visitor or user who purchases, books, accesses or uses our services.
By using our website, booking a service, submitting audio, attending a studio session, purchasing
a package or using our audio watermarking service, you agree to be bound by these Terms.
2. Services Covered
These Terms apply to all services offered by Spy-da Productions Ltd, including but not limited to:
- Recording sessions;
- Mixing and sound engineering;
- Mastering and analogue mastering;
- Music production, vocal production and arrangement;
- Studio hire and studio subscription services;
- Audio watermarking and watermark verification;
- Digital, media, creator and business audio services;
- Any related consultancy, creative or technical service supplied by the Company.
3. Bookings, Payments & Deposits
All bookings are subject to availability and are only confirmed once payment, deposit or written
confirmation has been accepted by the Company.
- Deposits will be required before work begins.
- Remaining balances must be paid in accordance with the invoice, quote or booking confirmation.
- The Company may refuse to release final files until all outstanding balances are paid.
- Late payments may result in suspension of work, cancellation of bookings or withholding of deliverables.
- Prices may vary depending on project scope, turnaround, revisions, studio time, number of stems and technical requirements.
4. Studio Attendance & Client Conduct
Clients attending the studio must behave respectfully, professionally and safely at all times.
The Company reserves the right to end a session immediately if a client or guest behaves abusively,
dangerously, unlawfully or disruptively.
- Clients are responsible for their guests.
- Damage to studio property, equipment or facilities may be charged to the client.
- Illegal activity, threats, violence, theft or harassment will not be tolerated.
- The Company may refuse future bookings where conduct has breached these Terms.
5. Spy-da Audio Watermarking Terms
The audio watermarking service provides watermark embedding and verification support for audio files.

Audio watermarking is intended to support ownership verification, deterrence, tracking and
evidential workflows. No watermarking system can guarantee that infringement, copying, misuse,
tampering or unauthorised distribution will never occur.
5.1 Verification
Watermark verification requests must be submitted directly to Spy-da Productions Ltd. Verification
reports may be subject to additional fees depending on urgency, detail required and technical work involved.
5.2 Prohibited Watermarking Actions
- You must not attempt to reverse-engineer, decompile, extract, mask, alter or remove the watermark.
- You must not use watermarking output to make false, deceptive or fraudulent ownership claims.
- You must not submit content unless you have the legal right to do so.
6. Copyright, Masters & Intellectual Property
Unless agreed otherwise in writing, clients retain ownership of their original submitted materials.
The Company retains ownership of its tools, methods, systems, software, watermarking processes,
templates, technical workflows, internal know-how and any proprietary processes used to provide services.
- You confirm that you own or control the rights required to submit material to us.
- You must not submit material that infringes copyright, trademarks, privacy rights or third-party rights.
- Final deliverables are licensed or supplied only after payment has been completed.
- Separate written agreements may override this section for label, publishing, production or artist deals.
7. Confidentiality & Submitted Content
We treat submitted audio, stems, demos, unreleased material, project files and client information as confidential.
We will not sell, distribute or intentionally disclose client content except where required to perform the service,
comply with law, enforce our rights or where the client has given permission.
Clients are responsible for keeping their own copies and backups. We are not responsible for permanent storage
unless a separate storage or archive agreement is in place.
8. Cancellations, Refunds & Revisions
Due to the creative and technical nature of studio, audio and watermarking services, payments are generally
non-refundable once work has started, files have been processed or studio time has been reserved.
- Refunds may be considered where duplicate billing or a confirmed Company technical error has occurred.
- Cancelled or missed sessions may result in loss of deposit.
- Revision limits depend on the package, invoice or written agreement.
- Additional revisions, urgent turnarounds or extra work may be charged separately.
9. Limitations of Liability
To the fullest extent permitted by law, Spy-da Productions Ltd shall not be liable for indirect losses,
loss of profits, loss of opportunity, loss of reputation, third-party infringement, platform takedowns,
unauthorised use by third parties, or outcomes outside our direct control.
Our total liability for any claim shall not exceed the amount paid by the client for the specific service
giving rise to the claim, unless the law requires otherwise.
10. Website Use
Users must not misuse the website, interfere with security, attempt unauthorised access, upload malicious code,
copy website materials without permission, scrape data, or use the site for unlawful purposes.
11. Privacy, Cookies & Data
We may collect and process personal data for enquiries, bookings, payments, communication, service delivery,
fraud prevention and legal compliance. Where cookies or analytics are used, users may be provided with cookie

12. Force Majeure
We are not liable for failure or delay caused by events outside our reasonable control, including internet outages,
